Zoning acquisition standard

Every parcel is acquired against a verified entitlement position and an active development timeline. Where the intended development is already a permitted use, that position is the existing zoning. Where it is not, acquisition proceeds only if diligence has established a credible, achievable path to rezoning. Speculative land banking is prohibited by the acquisition model, not just by policy. Pre-acquisition entitlement verification

No land purchase may proceed without prior verification of the applicable municipal zoning designation. Verification establishes one of two positions. The second position carries a higher evidentiary burden, not a lower one. Diligence tests the official community plan designation, the municipality's recent decisions on comparable applications, servicing and access capacity, and the anticipated approval timetable. A site whose rezoning case rests on optimism rather than evidence does not clear that test, and is not acquired.

Rezoning as a development activity

Rezoning is a normal part of development, not an exception to the acquisition model. Procuring development approvals is a defined service performed after a property is held: subdivision approval, rezoning approval, official community plan approval, development permits and building permits. A site acquired subject to rezoning enters that process on a schedule fixed at acquisition, not at some later date.

The consequence for the reader is that entitlement status is a disclosed variable, not a precondition uniformly satisfied at purchase. It is assessed site by site, and the assessment is recorded before the purchase contract is executed.

Entitlement risk

Entitlement is never treated as granted before it is granted. There can be no assurance that a required entitlement will be obtained on the anticipated timetable, on acceptable terms, or at all. Delay or failure in obtaining planning approvals, rezonings, permits or other entitlements may delay or curtail the development programme for the affected site. That outcome may reduce the returns available to limited partners.

Pre-acquisition diligence is intended to reduce this risk at the point of purchase. It does not eliminate it, and it is not represented as doing so.

Active development mandate

The enterprise holds land strictly for active development. "Holding" in this context means a parcel is acquired when the development timeline is defined — design approved, financing in place, a target construction start date established. Where the intended use requires rezoning, that timeline incorporates the planned entitlement period rather than assuming its outcome. A parcel is not acquired speculatively on the expectation that a development timeline will be established later.

This rule eliminates the carrying cost exposure of indefinitely held vacant land. A parcel held without an active development schedule generates no revenue, incurs municipal tax obligations, and exposes the portfolio to the risk that conditions supporting development — zoning, anchor presence, financing terms — deteriorate before development proceeds.

Prohibition on speculative land banking

Speculative land banking — acquiring parcels with no defined development timeline in anticipation of future appreciation — is structurally prohibited. The prohibition is not a policy preference; it is a consequence of the development mandate. A parcel without an active development timeline does not satisfy the conditions for acquisition.

This distinguishes the co-location platform's acquisition model from traditional real estate speculation, where land is purchased for future appreciation without commitment to productive use. Every parcel in the portfolio has a defined development purpose at the time of acquisition.
